4. Billing

4.1 Payment Methods

(a) Upon creating your RipeGlobal Account we will require you to provide details of:

(i) your credit card; or
(ii) your bank account; or
(iii) Paypal; or
(iv) any other payment method we publish as acceptable from time to time.

(b) We reserve the right to include any third-party payment processing costs we incur that are associated with processing your transaction as an additional charge.

4.2 Membership & Paid Content Fees

(a) To the extent that we make additional or specific or Paid Content or Courses available for purchase as part of our Services, including but not limited to live (whether broadcast, streaming or in person) clinical masterclasses, in-person hands-on, virtual hands-on training programs, lectures, presentations, tutorials or other such events (Paid Content), you will be notified of the costs of such Paid Content immediately prior to your purchase and we will charge your designated payment method automatically.

4.3 Refunds

(a) We do not provide refunds of purchases of Paid Content. We may agree to transfer your access to Paid Content to another RipeGlobal Account holder where a suitable and willing replacement is provided by you and you have not had any exposure to the Paid Content. We will charge a reasonable fee to cover our costs associated with transferring the Paid Content.

(b) We do not provide refunds for supplied equipment, hardware or material supplies purchased as part of Paid Content or separately.

4.4 Paid Content Credit

If you have purchased Paid Content that you are not able to attend solely as a consequence of a timing modification to the event that has been made by us under clause 5., we will provide you with a credit that you can apply to any of our RipeGlobal created and branded Services or Paid Content (excluding 3rd party created and branded or co-branded Paid Content, equipment, hardware and material supplies) provided you give notice to us detailing the reasons for the credit request either:

(a) within 28 days of the date our notice under clause 5. was issued; or

(b) more than 56 days before the relevant Paid Content is made available.

5. Paid Content Modification

You acknowledge and agree that we may for any reason, upon providing reasonable notice to you:

(a) alter the format;

(b) substitute educators, panelists, moderators or presenters; and/or

(c) Changed the planned timing and/or dates, of any Paid Content, provided we deliver that Paid Content in a manner that is materially similar to what we publicised at the time of purchase or as advised to you from time to time.

9. Disclaimer

(a) Where we provide information about a product or service, the nature of the information is solely intended to describe the product or service in a manner that allows you to consider whether to acquire the product or service. Such information is in no way to be construed as advice.

13. Standard Provisions

13.3 Force Majeure Event

Neither party is liable for any breach of its obligations under these Terms to the extent that the breach resulted from any event that is outside the reasonable control of the affected party and could not have been prevented by that party taking reasonable steps or overcome by the exercise of reasonable diligence and at a reasonable cost (including lack of supply, industrial action, fire, riot, war, embargo, pandemic, civil commotion for act of God) provided that the affected party:

(a) promptly notifies the other party of the event (with appropriate details); and

(b) takes all reasonable steps to work around or reduce the effects of the event.

13.4 Goods and Services Tax

(a) Unless otherwise expressly stated, all amounts stated to be payable under these Terms or in connection with them are exclusive of Goods and Services Tax (GST) or Value Added Tax (VAT). If GST/VAT is imposed on any supply made under or in accordance with these Terms, then the GST/VAT payable must be paid to the supplier as an additional amount by the recipient of the supply, provided the supplier provides a tax invoice in respect of the taxable supply.

(b) If a party is entitled to be reimbursed or receive compensation for any of its costs, expenses or liabilities then the amount to be paid is to be reduced by the input tax credits to which that party is entitled to receive in relation to those amounts.
